RoHS Directive 2011/65/EU
CGUK Ltd. is committed to conducting business in an environmentally friendly manner. CGUK Ltd. is aware of and supports the objectives of the RoHS directive.

CGUK Ltd. is a distributor and therefore does not manufacture any of the materials used in our parts.

Compliance has therefore been obtained directly from our suppliers.

Whilst CGUK Ltd. has taken reasonable steps to confirm the accuracy of information, the declaration of compliance originates from our suppliers and not ourselves. Which means that we are unable to make definitive statements regarding the process by which compliance is achieved. It is legally sufficient to make the declaration of compliance without having to supply the customer with precise details of how it is achieved for every product in our range. Similarly, a user may accept that declaration without assuming legal liability for how compliance is achieved.

With this letter CGUK Ltd. can confirm that the suppliers we use have confirmed that the goods they supply are compliant with the RoHS directive 2011/65/EU.

CGUK Ltd. cannot provide detailed lists of data and processes used by our suppliers to achieve compliance. Neither can we reformat the information we have on file to cater for the customer’s internal administration requirements; this includes spreadsheets and those requesting specific process data.

REACh Compliance Declaration
The EC Regulation No 1907/2006 on Registration, Evaluation, Authorisation and Restriction of Chemicals (REACh) entered into force on June 1 2007 subject to amendments. The identification of a substance as a Substance of Very High Concern (SHVC) and its inclusion in the Candidate list creates certain legal obligations for the importers, producers and suppliers of an article that contains such a substance.

CGUK Ltd. is a downstream user and as such we are liable for information towards the customers. We are not liable for registration of substances. Goods which are purchased from CGUK Ltd. do not have to be registered. The responsibility for registration of any Chemicals which may possibly be subject to registration contained within our products have to be registered solely by our suppliers.

We are in constant contact with our suppliers to avoid the inclusion of Substance of Very High Concern being included in our products. Based on the responses from our suppliers no materials from the ECHA Candidate List with >0.1 mass percent are included in our goods or packages materials.

Should our goods or packages materials contain SVHC* materials in the future, we will inform our customers if the reporting requirements are fulfilled.

Code of Business Conduct & Ethics
In performing their daily duties, CGUK Ltd. employees should always act lawfully, ethically and in the best interests of CGUK Ltd. This Code of Business Conduct and Ethics sets out the basic principles. Any employee who is unsure that their conduct or the conduct of their co-workers may or may not comply with the Code of Conduct should contact their manager.

Compliance with Laws, Rules & Regulation
Employees must follow laws, rules and regulations that are applicable to them at all times. Employees with questions about what’s applicable or how to interpret any law, rule or regulation should contact their manager.

Conflicts of Interest
Employees are expected to use their judgement when performing their job duties at all times, in the best interests of CGUK Ltd. A conflict of interest exists when an employee’s personal interests Interferes with the best interests of CGUK Ltd. An example of this would be when an employee or family member receives a personal benefit as a result of the employee’s position with CGUK Ltd. A conflict of interest may also arise from an employee’s business or personal relationship with a customer, supplier, competitor, business partner or other employee, if that relationship interferes with the employees objective business judgement.

Insider Trading Policy
CGUK respect and follow the insider trading rules.

Discrimination & Harassment
CGUK Ltd. provides equal opportunities in all aspects of employment and does not tolerate discrimination or harassment of any kind. Employees may not discuss prices or make any formal or informal agreement with any competitor regarding price, discounts or business terms, where the results of such a discussion on agreement would be inconsistent with antitrust laws.

Health & Safety
CGUK Ltd. provides a clean and safe working environment. Each employee has responsibility for maintaining a safe and healthy work place by following Health and Safety practices. Violence and threatening behaviour will not be tolerated. Employees must report to work in a condition to perform their duties, free from the influence of illegal drugs or alcohol.

Questions. Reporting Violation
Employees should speak to management when they have a question about the application of the Code of Conduct or when in doubt about how to properly act in a particular situation.

CGUK Ltd. will not allow retaliation against an employee for reporting misconduct by others in good faith. Employees must co-operate in internal investigations of potential or alleged misconduct.

Waivers
Waivers of this code of conduct may be made only in a manner permitted by law.
